These Terms & Conditions govern the use of the website www.gestiona.ch and the advisory services provided by GESTIONA Advanced Legal Tech GmbH, a company incorporated under Swiss law with registered office at Lange Gasse 90, CH-4052 Basel, Switzerland.

By accessing this website or instructing our services, the client acknowledges and accepts these Terms & Conditions.

GESTIONA Advanced Legal Tech GmbH provides independent advisory and coordination services in connection with premium real estate assets and cross-border transactions involving properties located in Spain.
Our services may include, depending on the specific engagement:

• legal and registry review

• transaction risk assessment

• urban planning and licensing analysis

• documentary consistency review

• technical or architectural coordination

• transaction readiness assessment

• cross-border advisory support

 

Unless expressly agreed otherwise in writing, the services do not constitute tax, investment or financial advice.

 

3. Scope of Engagement
Each engagement is limited to the scope expressly agreed with the client.
The client acknowledges that any conclusions, assessments or recommendations provided are based on:

• the documentation supplied by the client or third parties

• publicly available information

• Registry, Cadastre and administrative records

• information available at the time of review

GESTIONA Advanced Legal Tech GmbH is not responsible for hidden defects, undisclosed circumstances, inaccurate information supplied by third parties or subsequent changes affecting the asset or transaction.

 

4. Client Obligations
The client undertakes to:

• provide complete, accurate and updated information

• cooperate in good faith throughout the engagement

• provide requested documentation without undue delay

• ensure that any information supplied by third parties may lawfully be shared

Any delay or deficiency in the information provided may affect the timing, scope or accuracy of the services.

 

5. External Specialists and Advisors
Depending on the nature of the transaction, GESTIONA Advanced Legal Tech GmbH may coordinate or collaborate with independent specialist professionals, including lawyers, architects, urban planning advisors, technical consultants, tax advisors, notarial professionals and other external experts.
Unless expressly agreed otherwise, such professionals act independently and remain solely responsible for their own services and conclusions.

 

6. Fees and Payments
Fees are determined according to the scope, complexity and urgency of the engagement.
Unless otherwise agreed:

• invoices are payable upon receipt

• all fees are exclusive of third-party costs and disbursements

• taxes and VAT, where applicable, shall be added separately

GESTIONA Advanced Legal Tech GmbH reserves the right to suspend services in case of delayed or outstanding payment.

 

7. Confidentiality
All information exchanged within the framework of the engagement shall be treated confidentially.
GESTIONA Advanced Legal Tech GmbH applies a confidentiality-first approach and undertakes not to disclose confidential information to third parties except:

• where required by law

• where necessary for the performance of the engagement

• with the client’s prior consent

This obligation shall survive the termination of the engagement.

 

8. Data Protection
Personal data shall be processed in accordance with applicable Swiss and European data protection regulations, including:

• the Swiss Federal Act on Data Protection (FADP / DSG)

• the General Data Protection Regulation (GDPR), where applicable

9. Intellectual Property

10. Limitation of Liability
GESTIONA Advanced Legal Tech GmbH shall only be liable for damages caused by wilful misconduct or gross negligence.
To the maximum extent permitted by applicable law, liability for indirect damages, consequential losses, loss of profits, reputational damages or third-party claims is excluded.
Any liability shall in all cases be limited to the amount effectively paid by the client for the relevant engagement.

 

11. Transaction Timing and Third Parties
Any estimated timelines or completion dates are indicative only.
GESTIONA Advanced Legal Tech GmbH shall not be responsible for delays arising from:

• public authorities

• Registries or administrative bodies

• notarial scheduling

• financial institutions

• third-party advisors

• incomplete documentation

• force majeure events

 

12. Termination
Either party may terminate the engagement at any time by written notice.
The client shall remain responsible for all fees and expenses accrued up to the termination date.
GESTIONA Advanced Legal Tech GmbH reserves the right to terminate or decline an engagement where:

• conflicts of interest arise

• cooperation becomes insufficient

• payment obligations are not fulfilled

• continuation of the engagement is no longer appropriate

 

13. Website Use
Users undertake not to misuse the website, attempt unauthorized access, interfere with its operation or use the website for unlawful purposes.
GESTIONA Advanced Legal Tech GmbH does not guarantee uninterrupted availability of the website.

14. Governing Law and Jurisdiction
These Terms & Conditions shall be governed by Swiss law.
Any dispute arising in connection with these Terms & Conditions or the services provided shall be subject to the exclusive jurisdiction of the Courts of Basel, Switzerland.
